Terms and Conditions

These Terms and Conditions govern your access to and use of the Plexient website, any Plexient demonstration applications or prototypes ("Demo Apps"), and any information, content, and materials made available through them. By accessing or using the website or any Demo App, you agree to these Terms and Conditions. If you do not agree, do not use them.

1. Website Use

You may use the website and any Demo App only for lawful purposes and in a manner consistent with these Terms and Conditions. You agree not to:

  • misuse the website or interfere with its operation;
  • attempt to gain unauthorized access to the website, servers, or related systems;
  • copy, scrape, reproduce, or republish website content except as allowed by law or with our prior written consent;
  • use the website in a way that violates applicable law or the rights of others.

2. Informational Content Only

The website is provided for general informational and business development purposes only. Demo Apps are provided for evaluation, demonstration, testing, or discussion purposes only unless Plexient expressly agrees otherwise in writing. Nothing on the website or in any Demo App constitutes legal, accounting, tax, investment, medical, or other regulated professional advice, and it should not be relied on as a substitute for independent professional judgment.

3. No Client Relationship

Your use of the website or any Demo App, or your decision to contact Plexient through the website or by email, does not create a client, advisory, fiduciary, or other professional relationship. Any services provided by Plexient will be governed solely by a separate written agreement signed by the parties.

The website and general contact channels are not intended for the transmission of Protected Health Information (PHI) or other highly sensitive medical information. Certain Demo Apps may be patient-directed and may permit an individual user to access or process that individual's own PHI for demonstration purposes. Plexient does not act as a health care provider, health plan, payer, or health care clearinghouse in connection with those Demo Apps.

4. Intellectual Property

The website and its content, including text, branding, graphics, layout, and other materials, are owned by Plexient or its licensors and are protected by applicable intellectual property laws. Except for limited personal, non-commercial use, you may not use, reproduce, distribute, modify, or create derivative works from website content without prior written permission.

5. Submissions

If you send us information through the website, a Demo App, or by email, you represent that you have the right to do so. Unless we expressly agree otherwise in writing, unsolicited submissions are not treated as confidential, and sending them does not impose any duty on Plexient.

Do not submit PHI through the website, contact forms, or general email addresses. Any patient-directed PHI used in a Demo App must be submitted only by the individual patient or at the patient's direction, not by a payer or provider, and, unless Plexient expressly agrees otherwise in a separate written agreement, Plexient does not store that PHI on its servers.

6. Third-Party Links

The website may contain links to third-party sites or services for convenience only. Plexient is not responsible for the content, availability, or practices of any third-party website.

7. Disclaimer of Warranties

The website, Demo Apps, and all content are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or availability. We do not warrant that the website or any Demo App will be uninterrupted, error-free, secure, or free from harmful code.

8. Limitation of Liability

To the fullest extent permitted by law, Plexient will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity arising out of or related to your use of, or inability to use, the website or any Demo App.

To the fullest extent permitted by law, Plexient's total liability for any claim arising out of or relating to the website, any Demo App, or these Terms and Conditions will not exceed one hundred U.S. dollars ($100).

9. Indemnification

You agree to defend, indemnify, and hold harmless Plexient from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses, including reasonable attorneys' fees, arising out of your misuse of the website or your violation of these Terms and Conditions.

10. Governing Law and Venue

These Terms and Conditions, and any dispute arising out of or relating to the website, any Demo App, or these Terms and Conditions, are governed by the laws of the State of New York, without regard to conflict of law principles.

Any legal action or proceeding arising out of or relating to the website, any Demo App, or these Terms and Conditions must be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts.

11. Changes to These Terms

We may revise these Terms and Conditions from time to time by posting an updated version on this page. The Effective Date at the top of the page will indicate when the current version became effective. Your continued use of the website after revised terms are posted constitutes your acceptance of the updated terms.
